Terms of Service

01The agreement

“Codelith Lab”, “we” and “us” means Codelith Lab, Pune, India. “You” means the client named in the proposal or invoice. Each project is defined by a written proposal (scope, deliverables, price, timeline); these terms apply to every proposal unless a signed contract says otherwise.

02Services

We provide website and application design and development, e-commerce builds, SEO and digital marketing, AI products and automation (including ZupiChat), and related consulting. The exact scope of your project is the scope in your proposal — work outside it is quoted separately before we begin.

03Quotes & payment

• Quotes are valid for 30 days from the date issued.
• Projects are booked with a 50% advance; the balance is billed at agreed milestones or on delivery, as set out in the proposal.
• We accept payment in USD, GBP, EUR, AED and INR via Stripe, PayPal, Wise or bank transfer.
• Invoices are due within 7 days. If an invoice is overdue, we may pause work until it is settled; the timeline shifts accordingly.
• Bank and processor fees are borne by the payer; taxes (such as GST) are added where the law requires.

04Intellectual property

• You own the final deliverables — designs, code and content we create for you — once the project is paid in full.
• Until full payment, all work remains the property of Codelith Lab.
• We retain ownership of our pre-existing tools, libraries, frameworks and know-how; you receive a perpetual licence to use them within your deliverables.
• Portfolio rights — we may showcase the finished work in our portfolio and case studies unless your proposal includes an NDA or you ask us not to in writing.
• Third-party assets (fonts, stock imagery, plugins, licences) remain subject to their own terms.

05Revisions

Each milestone includes the revision rounds stated in your proposal (typically two rounds). A revision refines work within the agreed scope; new pages, features or a change of direction is new scope and is quoted before we proceed. Additional revision rounds are billed at our standard hourly rate.

06Timelines

Timelines in proposals are good-faith estimates based on prompt feedback and timely content. Delays in approvals, content or third-party dependencies extend the schedule by at least the same number of days. We will always tell you early if a date is at risk.

07Client responsibilities

• Provide feedback and approvals within the windows agreed in the proposal.
• Supply content, branding and access credentials on time.
• Ensure you have the rights to all materials you give us (logos, images, text, data).
• Use the deliverables lawfully; we are not responsible for how the work is used after handover.

08Warranties & liability

We deliver our work with reasonable skill and care, and we fix defects reported within 14 days of delivery at no cost. Beyond that:

• We do not guarantee specific outcomes — search rankings, traffic, conversion rates or revenue depend on factors outside our control.
• Our total liability for any claim is capped at the fees you actually paid for the work giving rise to the claim.
• We are not liable for indirect or consequential losses (lost profits, lost data, business interruption), or for failures of third-party services such as hosting, payment processors or APIs.

09Confidentiality & NDA

We treat your business information, credentials and unreleased work as confidential by default, and expect the same of pricing and materials we share with you. A mutual NDA is available on request for any project — email business.codelithlab@gmail.com and we will countersign before discussions begin.

10Governing law & disputes

These terms are governed by the laws of India, and the courts of Pune, Maharashtra have jurisdiction.

For international clients, any dispute we cannot resolve amicably within 30 days will first be referred to binding arbitration under the (Indian) Arbitration and Conciliation Act, 1996 — seat in Pune, conducted in English, one arbitrator appointed by mutual consent — before any court proceedings. In practice: talk to us first; almost everything is resolved with a call.

11Termination

• Either party may end a project with 14 days' written notice.
• You pay for all work completed and milestones approved up to the termination date; anything already paid for is handed over.
• Treatment of the advance and any unused milestone payments follows our Refund Policy.
• Sections on IP, confidentiality, liability and governing law survive termination.
